KAPPAL PLATFORM SUBSCRIPTION TERMS & CONDITIONS
This Subscription Agreement (“Agreement”) governs the use of the Kappal platform and is entered into between Kappal Technologies Private Limited (“Kappal”) and the subscribing customer (“Customer”).
1. Subscription Services
Kappal provides access to its digital logistics technology platform, including freight rate discovery, shipment tracking, booking facilitation, and other platform features made available from time to time. Kappal is a technology enablement platform and does not act as a freight forwarder, carrier, NVOCC, customs broker, or logistics service provider.
2. Subscription Term & Auto-Renewal
The subscription shall automatically renew for an equivalent term unless the Customer provides written notice of cancellation via email to Kappal at least thirty (30) days prior to the renewal date.
3. Fees & Payment
All subscription fees are exclusive of GST. GST and applicable taxes shall be charged in addition to the subscription fee. Subscription fees are payable in advance and are non-refundable.
4. Customer Responsibilities
The Customer agrees to provide accurate information, maintain login confidentiality, and use the platform only for lawful business purposes.
5. Intellectual Property
All intellectual property rights relating to the Kappal platform shall remain the exclusive property of Kappal.
6. Platform Availability
Kappal will use commercially reasonable efforts to maintain platform availability.
7. Limitation of Liability
Kappal’s aggregate liability shall not exceed the subscription fees paid during the preceding twelve (12) months.
8. Confidentiality
Both parties agree to maintain the confidentiality of all non-public information disclosed during the subscription period.
9. Governing Law
This Agreement shall be governed by the laws of India and subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.
